    This contract is entered into between Ethical SEO Consulting LLC., DBA Juris Digital, and your company (hereinafter referred to as “Client, You, and/or Your”) on the day you sign the agreement.

    Please read these Terms and Conditions carefully before signing the agreement.

    Website Design & Development

    We create custom designs and flexible layouts that adapt to the capabilities of many devices and screen sizes. We will create a static mockup of purchased templates for you to review and approve.

    You’ll have plenty of opportunities to review our work and provide feedback.

    What Do Both Parties Agree to?

    Client: You have the authority to enter into this contract on behalf of yourself, your company, or your organization. You’ll give us everything we need to complete the project as and when and in the format we need it. You’ll review our work, and provide feedback and approval promptly, too. Deadlines work two ways, so you’ll also be bound by the dates we set together.

    Us: We have the experience and ability to do everything we’ve agreed with you, and we’ll do it all in a professional and timely manner. We’ll endeavor to meet every deadline that’s set, and on top of that, we’ll maintain the confidentiality of everything you give us.

    If, at any stage, you change your mind about what you want to be delivered and are not happy with the direction of our work, please let us know. The average web design and development project takes 30 – 60 days from beginning to completion.

    Changes & Revisions

    For simplicity, we ask that you fully review each design mockup and provide all changes at one time. This makes the design process run smoother. There are two rounds of revisions included for the website design mockup & 2 rounds of revisions included for HTML changes. The price at the beginning of this contract is based on what we estimate we’ll need to accomplish everything you’ve told us you want to achieve. Any changes that are requested that are outside of the project scope or differ from the approved design will be estimated and billed at $250/hr.

    Our development code standards feature fully responsive HTML 5, CSS 3, Javascript, and JQuery in an unobtrusive manner. Each page will be implemented without any browser errors following the W3C standard. Additionally, we will NOT be using any Adobe Flash-based applications or website functions that will be inoperable on certain devices and browser types. Crawlability and Accessibility are high priorities; each site will have an HTML and XML sitemap. The website will be compatible with Microsoft Edge and up-to-date versions of Chrome, Firefox, and Safari at a minimum. IE11 compatibility is not included, as the Development of IE ended in 2015. We will offer compatibility at an extra fee due to the time involved.

    Website Development Timelines

    It’s in everyone’s best interest to have the project move smoothly and according to pre-set deadlines. Here are our expectations:

    The dates below are based on the date of the contract signing. The days indicated below are business days.

    • We will schedule your kick-off call within 2-3 business days of signing the contract and making the payment.
    • All photography and videos must be provided within seven days of the kick-off call. This allows our designers to get started on your project.
    • Within 21 days after the digital files are provided, your first static design mockup will be delivered and ready for review.
    • You will have 3 days to review the design and provide us with any changes.
    • We will then have Up to 10 days to provide you with mockup #2 to review. You will make any final changes here.
    • We will have 5 days to make any additional changes and send them to you for approval.
    • If we don’t hear back from you within three days, we will assume you approve the design and move forward with the development.
    • We will have 14 days to deliver the website on our development servers. *Any site needing manual content transfer will incur an additional timeline buffer. Every 50 pages over 100 pages will add an additional day to the development timeline.
    • You will have three additional days to check out the website before we go live with your approval.

    SEO Services

    We believe in providing effective SEO services. Work may vary from month to month depending on the goals of the project and Google changes.

    1. Ethical SEO Consulting LLC., DBA Juris Digital will provide the Client with Search Engine Optimization Services (hereinafter referred to as “SEO”) as described in this contract. Juris Digita will use specific keywords and/or phrases to improve the search engine ranking of, and/or position the contents of the Client’s website.
    2. All invoices must be paid in full within 5-7 days of billing.
      Juris Digtial’s SEO services are intended to serve two primary purposes: 1) to provide the Client with increased exposure in search engines, and 2) to drive targeted online traffic to the site.
      Juris Digtial’s SEO Services may include (but are not limited to):
      • Researching keywords and phrases to select appropriate, relevant search terms.
      • Obtaining “back links” from other related websites and directories to generate link popularity and traffic.
      • Editing and/or optimization of text for various html tags, meta data, page titles, and page text as necessary.
      • Analysis and recommendations on optimal website structure, navigation, code, etc., for best SEO purposes.
      • Recommend, as required, additional web pages or content for the purpose of “catching” keyword/phrase searches.
      • Create traffic and ranking reports showing rankings in the major search engines.
      • Creating blog posts and social media posts.
    3. For the purposes of receiving professional SEO services, Client agrees to provide the following:
      • Administrative/backend access to the website for analysis of content and structure.
      • Permission to make changes for the purpose of optimization and to communicate directly with any third parties.
      • Unlimited access to existing website traffic statistics for analysis and tracking purposes.
      • Authorization to use client pictures, logos, trademarks, website images, pamphlets, content, etc., for any use as deemed necessary by Client for search engine optimization purposes.
      • If Client’s site is lacking in textual content, Client will provide additional text content in electronic format for the purpose of creating additional or richer web pages.
    4. Client must acknowledge the following with respect to SEO services:
      • All fees are non-refundable.
      • All fees, services, documents, recommendations, and reports are confidential.
      • Ethical SEO Consulting LLC., DBA Juris Digital has no control over the policies of search engines concerning the type of sites and/or content that they accept now or in the future. The Client’s website may be excluded from any directory or search engine at any time at the sole discretion of the search engine or directory.
      • Due to the competitiveness of some keywords/phrases, ongoing changes in search engine ranking algorithms, and other competitive factors, Ethical SEO Consulting LLC., DBA Juris Digital does not guarantee #1 positions or consistent top 10 positions for any particular
        keyword, phrase, or search term.
      • Occasionally, search engines will drop listings for no apparent or predictable reason. Often, the listing will reappear without any additional SEO. Should a listing be dropped during the SEO campaign and does not reappear within 30 days of campaign completion, Ethical SEO Consulting LLC., DBA Juris Digital will re-optimize the website/page based on the current policies of the search engine in question.
      • Engage in Digital Public Relations Campaigns designed to promote the firm locally and earn natural backlinks
      • Some search directories offer expedited listing services for a fee. If the Client wishes to engage in said expedited listing services (e.g., paid directories), the Client is responsible for all paid-for inclusion or expedited service fees. Ethical SEO Consulting LLC., DBA Juris Digital will offer a list of expedited listing services upon request.
      • Linking to “bad neighborhoods” or getting links from “link farms” can seriously damage all SEO efforts. Ethical SEO Consulting LLC., DBA Juris Digital does not assume liability for the Client’s choice to link to or obtain a link from any particular website without prior consultation.
    5. Ethical SEO Consulting LLC., DBA Juris Digital is not responsible for changes made to the website by other parties that adversely affect the search engine rankings of the Client’s website.
    6. Additional Services not listed herein (copywriting, digital PR campaigns, advertising campaigns, addition consulting, etc.) will be provided for a fee of $100-$200 per hour.
    7. The Client guarantees any elements of text, graphics, photos, designs, trademarks, or other artwork provided to Ethical SEO Consulting LLC., DBA Juris Digital for inclusion on the website above are owned by the Client, or that the Client has received permission from the rightful owner(s) to use each of the elements, and will hold harmless, protect, and defend Ethical SEO Consulting LLC., DBA Juris Digital and its subcontractors
      from any liability or suit arising from the use of such elements.
    8. Ethical SEO Consulting LLC., DBA Juris Digital is not responsible for the Client overwriting SEO work on the Client’s site. (e.g., Client/webmaster uploading over work already provided/optimized). The Client will be charged an additional fee for re-constructing content, based on the hourly rate of $200 per hour. Notwithstanding any other provision of this Agreement, Ethical SEO Consulting LLC., DBA Juris Digital’s obligation to provide free SEO services shall cease in the event the Client’s conduct overwrites the SEO services provided. For example, if the client’s webmaster or marketing team uploads content without consulting Ethical SEO Consulting LLC., DBA Juris Digital, then Ethical SEO Consulting LLC., DBA Juris Digital’s obligation to provide SEO services for free shall terminate.

    Payment Policies

    Automatic ACH or credit card payment on file is required for prices quoted in proposals. A 3% service fee may be applied to all credit card transactions. All payments not received on time are subject to billing the card on file with a 3% late fee.

    Monthly Terms: Unless agreed otherwise, Your monthly service agreement renews automatically each month until terminated. We require 30 days’ notice before the beginning of a month to cancel or pause for that month; notice must be in writing or by email, and cancellation shall not be effective before completion of the minimum term.

    Annual Terms: A yearly agreement requires a one-year minimum commitment. You shall be invoiced in the first month of the annual commitment period at our discretion. If Your yearly agreement is suspended for non-payment, before the end of the annual commitment period, You will no longer qualify for yearly agreement pricing for the annual commitment period, and You will be charged the difference between the monthly and annual commitment pricing for the number of months your yearly agreement was active during that annual commitment period. Upon the anniversary of Your yearly agreement, Your yearly agreement will automatically be renewed for a subsequent one-year period, unless terminated.

    All payments are due within 5-7 days from the invoice date. They must be paid by bank transfer using the bank information provided on the invoice, or credit card.

    If You fail to pay the invoice within 5-7 days of receipt of the email, Your access to our Services and Hosting services may be suspended, and You will need to contact Us and pay any outstanding invoices in order to resume.

    Refund & Cancellation

    We believe in putting our clients first. That is why we will do everything possible to make you happy. If for some reason you’re unsatisfied with our service we will work hard to make it right by correcting any mistakes.

    SEO Services

    Once a payment or deposit is made, it is non-refundable. If a project is canceled or postponed, all monies paid are retained by Ethical SEO Consulting LLC., DBA Juris Digital. ALL payments and/or deposits for Search Engine Optimization services are nonrefundable, including payments for one-time, setup, monthly, and maintenance tasks. Ethical SEO Consulting does not issue prorated refunds for fees paid in advance. Services may not be canceled or paused during the minimum term as stated in your agreement. We require 30 days’ notice before the beginning of a month to cancel or pause for that month; notice must be in writing or by email and cancellation shall not be effective prior to completion of the minimum term. If a service is canceled, all monies paid up to the effective date of cancellation shall be retained by Ethical SEO Consulting and, if applicable, a fee for any work completed beyond what has already been paid for shall be paid by the client.

ALL payments and/or deposits for Google ads or local services ads services are nonrefundable, including payments for one-time, setup, monthly, and maintenance tasks. Ethical SEO Consulting does not issue prorated refunds for fees paid in advance. Services may not be canceled or paused during the minimum term as stated in your agreement. We require 30 days’ notice before the beginning of a month to cancel or pause for that month; notice must be in writing or by email and cancellation shall not be effective prior to completion of the minimum term. If a service is canceled, all monies paid up to the effective date of cancellation shall be retained by Ethical SEO Consulting and, if applicable, a fee for any work completed beyond what has already been paid for shall be paid by the client.

    Content

    Content will be written to SEO best practice standards. Each page will be about 500 words in length. Once a payment or deposit is made, it is non-refundable. If a project is canceled or postponed, all monies paid are retained by Ethical SEO Consulting LLC., DBA Juris Digital. ALL payments and/or deposits for content services are nonrefundable, including payments for one-time, setup, monthly, and maintenance tasks. Ethical SEO Consulting does not issue prorated refunds for fees paid in advance. Services may not be canceled or paused during the minimum term as stated in your agreement. We require 30 days’ notice before the beginning of a month to cancel or pause for that month; notice must be in writing or by email and cancellation shall not be effective prior to completion of the minimum term.     General Provisions

    These terms and conditions may be updated at any time without notice.
